**Google Ads Agreement**
These terms and conditions (“Agreement”) govern the relationship between WebXilla LLC, hereinafter referred to as the “WebXilla or webxilla.com,” and the client engaging the services of WebXilla LLC, hereinafter referred to as the “Client.” By entering into a business relationship with the WebXilla , the Client agrees to abide by the terms and conditions outlined herein.
The rest of the document will use “WebXilla or webxilla.com” to refer to the agency and “Client” to refer to the purchaser of services from “WebXilla LLC.” Please replace “WebXilla or webxilla.com” and “Client” with your specific names if they differ.
**1. Services Provided:**
Webxilla LLC agrees to provide Google Ads management services to the Client, including but not limited to campaign creation, optimization, and reporting.
**2. Payment Terms:**
Client agrees to pay Webxilla LLC for the services provided according to the payment terms outlined on webxilla.com or provided by webxilla team as form of proposal. Payment is due monthly on the same date when the service is started out. Late payments may incur if the client will not be able to pay on time by 5% or whole monthly amount.
**3. Duration and Termination:**
This agreement shall commence on the date of buying services using webxilla cart system or sent by webxilla team proposal and continue until terminated by either party. Either party may terminate this agreement with 30 days written notice. Webxilla LLC reserves the right to terminate the agreement immediately in case of non-payment or material breach of the terms.
**4. Confidentiality:**
Both parties agree to keep all information exchanged during the course of this agreement confidential. This includes but is not limited to business strategies, client lists, and any proprietary information.
**5. Intellectual Property:**
Webxilla LLC retains ownership of any materials, including but not limited to ad creatives and campaign strategies, created during the term of this agreement.
**6. Client Responsibilities:**
Client agrees to provide all necessary information, access, and cooperation required for Webxilla LLC to effectively manage Google Ads campaigns. Failure to provide such information may impact the performance of the campaigns.
**7. Performance Metrics:**
Webxilla LLC will provide monthly reports on the performance of Google Ads campaigns. However, no guarantees are made regarding specific results or outcomes. Client acknowledges that the success of online advertising is influenced by various factors beyond the control of Webxilla LLC, and there is no assurance of achieving specific results or revenue.
**8. Limitation of Liability:**
Webxilla LLC Agency’s liability under this agreement is limited to the total amount paid by the Client for the services rendered. In no event shall either party be liable for any consequential, incidental, or indirect damages.
**9. No Guarantee of Results:**
Client acknowledges and agrees that Webxilla LLC makes no guarantees regarding the success or performance of the Google Ads campaigns. Results are influenced by market conditions, competition, and other factors beyond Webxilla LLC Agency’s control.
**10. No Liability for Loss of Revenue:**
Webxilla LLC shall not be held liable for any loss of revenue, profits, or business opportunities incurred by the Client as a result of the Google Ads campaigns. The Client assumes all risks associated with advertising and acknowledges that market conditions may impact the performance of the campaigns.
No modification of this agreement shall be valid unless in writing and agreed upon by both parties.
11. GOVERNING LAW & FORUM.
This Agreement shall be construed in accordance with the laws of the State of Nevada in the United States of America, without regard to conflict of laws rules. Venue shall be in a court of competent jurisdiction in the State of Nevada in the United States of America and both Parties expressly consent to jurisdiction in such courts.
12. COMPLETE AGREEMENT & AMENDMENT.
This Agreement supersedes all prior agreements and understandings between the Parties for performance of the Services and constitutes the complete agreement and understanding between the Parties.
This Agreement executed for Special Digital Marketing Services Agreement as of the date of checkout and will agreed upon by Client during the checkout process.
